These Terms of Service (“Terms”) govern your access to and use of the website located at measurednorth.com and any digital marketing services provided by Measured North LLC (“Measured North”, “we”, “us”, “our”). By accessing this website or engaging our services, you confirm that you have read, understood and agree to be bound by these Terms.

1. Acceptance of terms

If you do not agree with any provision of these Terms, please do not use this website or our services. We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last updated” date above. Continued use of the website or services after changes constitutes your acceptance of the revised Terms.

2. Description of services

Measured North provides digital marketing services including, but not limited to, search engine optimisation (SEO), pay-per-click (PPC) advertising management, social media marketing, content strategy and production, email marketing and automation, and analytics and conversion rate optimisation (CRO).

The specific scope of services, deliverables, timelines, fees and payment terms for any client engagement are set out in a separate written service agreement or proposal signed by both parties. In the event of any conflict between these Terms and a signed service agreement, the service agreement prevails.

3. Use of the website

This website is provided for general information about our company and services. You agree to use it only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use. Prohibited conduct includes, but is not limited to:

• Attempting to gain unauthorised access to any part of the website or its servers.
• Introducing viruses, malware, or any other harmful code.
• Using automated tools to scrape, crawl or harvest data from the website without our prior written consent.
• Transmitting or submitting any content that is unlawful, defamatory, misleading or infringes third-party rights.
• Impersonating any person or entity, or misrepresenting your affiliation with any person or entity.

4. Intellectual property

All content on this website — including text, graphics, logos, icons, images, audio clips, downloadable files and the overall design — is the exclusive property of Measured North LLC or its licensors, and is protected by applicable Ukrainian and international intellectual-property laws.

You may view and print pages from this website for your personal, non-commercial use only. You may not reproduce, republish, distribute, transmit, adapt, modify or create derivative works from any content on this site without our prior written permission.

Work product created for a client under a signed service agreement (including campaign creative, copy and reports) is assigned to the client upon full receipt of payment, unless the agreement specifies otherwise.

5. Acceptable use of our services

When engaging Measured North for services, you agree that you will:

• Provide accurate and complete information about your business, products and target market.
• Not instruct us to create or distribute content that is false, misleading, defamatory, obscene or otherwise unlawful.
• Not use our services to promote activities that violate applicable law, including advertising regulations, consumer-protection laws and platform policies of third-party advertising networks.
• Grant us the permissions necessary to access your advertising accounts, analytics platforms and other tools required to deliver the agreed services.
• Pay invoices in accordance with the agreed payment schedule.

6. Disclaimers

The information published on this website is provided “as is” for general informational purposes only and does not constitute professional marketing, legal, financial or other advice for your specific situation. Specific advice is provided only under a signed service agreement.

While we aim to deliver the results described in our proposals, digital marketing outcomes depend on many factors outside our control — including search-engine algorithm changes, platform policy updates, market conditions and the accuracy of information provided by the client. We make no guarantee of specific rankings, traffic levels, conversion rates or revenue figures.

We do not warrant that the website will be uninterrupted, error-free or free of viruses or other harmful components, though we take reasonable steps to maintain its security and availability.

7. Limitation of liability

To the maximum extent permitted by Ukrainian law, Measured North shall not be liable for any indirect, incidental, special, consequential or punitive damages — including loss of profits, loss of data or business interruption — arising from your use of or inability to use the website, even if we have been advised of the possibility of such damages.

Our aggregate liability to you for any claim arising from or related to a service engagement shall not exceed the total fees paid by you to Measured North in the three months preceding the event giving rise to the claim, unless a different limit is specified in the applicable service agreement.

8. Third-party platforms and tools

Our services may involve working within third-party platforms (Google Ads, Meta Ads Manager, various analytics tools, etc.). We are not responsible for changes to the policies, pricing, availability or functionality of these platforms, and we accept no liability for losses arising from such changes.

9. Confidentiality

Both parties agree to keep the other’s proprietary and confidential information private. We will not disclose your business data, campaign strategies or commercial terms to third parties except as required to deliver the services (e.g. sub-contractors and platform partners), or as required by law.

10. Governing law and disputes

These Terms are governed by and shall be construed in accordance with the laws of Ukraine. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Ukraine. Before initiating formal proceedings, both parties agree to attempt good-faith resolution through negotiation for a period of at least 30 days.

11. Severability

If any provision of these Terms is held by a court to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect.

12. Entire agreement

These Terms, together with any signed service agreement, constitute the entire agreement between you and Measured North with respect to the website and services, and supersede all prior or contemporaneous communications.
